1. Acceptance of Terms

By accessing or using the Totsee Technologies platform (“Totsee Technologies”, “we”, “our”, or “us”), you (“User”, “you”) agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you must not use the platform.

2. Platform Purpose

Totsee Technologies is a neutral online platform that facilitates discovery and communication between families seeking childcare and providers offering childcare services. Totsee Technologies does not provide childcare services and is not a licensed childcare agency.

3. No Endorsement or Guarantee

Totsee Technologies does not:

- Verify, endorse, or guarantee the credentials, licensing, quality, or legality of any providers or their services.

- Guarantee the accuracy of provider or parent-submitted information.

- Participate in, supervise, or mediate any transactions, bookings, or service agreements made between users.

Users are solely responsible for performing their own due diligence.

4. Limitation of Liability

To the maximum extent permitted by law, Totsee Technologies shall not be liable for any loss, damage, injury, or claim arising from:

- Your use or reliance on the platform;

- Any agreement, dispute, or interaction between users;

- Acts or omissions of providers or families;

- Errors or interruptions to the platform.

You acknowledge and agree that your use of the platform is at your own risk.

5. Indemnity

You agree to indemnify and hold harmless Totsee Technologies, its owners, directors, employees, contractors, and affiliates from any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

- Your use or misuse of the platform;

- Your breach of these Terms;

- Any interaction, transaction, or dispute between you and another user.

6. User Conduct

You agree to:

- Provide accurate, current, and complete information.

- Use the platform in compliance with all applicable municipal, provincial, and federal laws, including childcare licensing regulations.

- Not post or send any false, misleading, harmful, or unlawful content.

Totsee Technologies reserves the right to suspend or remove any user who violates these terms or engages in harmful behavior.

7. No Agency Relationship

Totsee Technologies is not an agent, employer, or representative of any user. No partnership, joint venture, or employment relationship is created by your use of the platform.

8. Childcare Licensing Responsibility

Providers are solely responsible for:

- Understanding and complying with childcare licensing and legal requirements in their province.

- Truthfully representing their licensing status on Totsee Technologies.

Totsee Technologies does not verify or enforce provincial licensing thresholds.

9. Privacy

Our Privacy Policy outlines how we collect, use, and protect your personal information in accordance with Canadian privacy laws (PIPEDA).

10. Dispute Resolution

Totsee Technologies is not a party to any agreements between users and does not mediate disputes. Users must resolve disputes directly.

11. Termination

We reserve the right to suspend or terminate access to the platform without notice if these Terms are violated.

12. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

13. Intellectual Property

All content, software, trademarks, branding, logos, designs, layouts, graphics, and functionality on the Totsee Technologies platform (collectively, the “Totsee Technologies IP”) are the exclusive property of Totsee Technologies or its licensors and are protected under Canadian and international intellectual property laws.

You may not:

- Copy, modify, reproduce, distribute, sell, sublicense, or reverse engineer any part of the platform;

- Use the Totsee Technologies IP for any purpose not expressly authorized by these Terms;

- Remove or alter any copyright, trademark, or proprietary notices.

Use of the platform does not grant you ownership or any rights to the Totsee Technologies IP.

14. Confidentiality

You agree not to disclose, reproduce, or share any non-public information, functionality, content, or features you access through the Totsee Technologies platform, whether during general use or beta participation.

This includes but is not limited to:

- Business plans

- Product features or roadmaps

- Screenshots or walkthroughs not publicly released

- Internal communications, documentation, or user data

This obligation continues even after you stop using the platform.

15. Beta Access Terms

Totsee Technologies may offer limited Beta Services to select users for testing and feedback purposes. These services may be unstable, experimental, or incomplete. In addition to the above Terms, Beta Users specifically agree to:

15.1 Confidentiality

You are bound by the Confidentiality terms outlined in Section 14.

15.2 Intellectual Property

You acknowledge that all content and technology accessed through the Beta Services remain the exclusive property of Totsee Technologies, in accordance with Section 13.

15.3 Feedback

By providing feedback, you grant Totsee Technologies a royalty-free, perpetual, worldwide license to use that feedback in any way.

15.4 No Guarantee or Compensation

Beta Services are provided “as-is” and may be discontinued at any time. Participation is voluntary and unpaid.

15.5 Governing Law

Beta Access Terms are governed by the laws of British Columbia and applicable federal laws of Canada.
